These Terms and Conditions (“Terms”) govern your access and use of the Oodles platform (“Platform”) operated by FuelSignal, Inc., doing business as Oodles (“Oodles,” “we,” “our,” or “us”). By using the Platform and its associated services, whether through web, mobile, or a Shopify application, you agree to be bound by these Terms.

These Terms, along with our Privacy Policy, Data Processing Agreement, Messaging Policy, and any other supplemental agreements, collectively constitute the entire agreement between you and Oodles. If you do not agree to these Terms, please discontinue use of the Platform immediately.

1. Definitions

  • Platform: Oodles’ software-as-a-service (SaaS) platform, including web-based access and Shopify App integration.

  • Services: All AI-powered functionalities, including Webchat Agent, SMS Marketing Agent, Reviews Agent, Feedback Agent, Payments Agent, Leads Agent, Appointment Scheduler Agent, AI Assistant Agent, and Voice AI Agent.

  • User / Customer / Merchant: Any business, organization, or individual accessing Oodles’ services.

  • Shopify Merchant: A User accessing Oodles through the Shopify App.

  • Non-Shopify Merchant: A User accessing Oodles via the standalone web platform.

  • Content: Data, text, images, and other materials shared or uploaded by Users.

2. Eligibility and Account Registration

  • Eligibility: Services are provided solely to users who are at least 18 years of age and operating a business.

  • Account Security: You agree to maintain accurate, current information and secure your account credentials. You are responsible for all activities under your account.

 

3. Scope of Services

  • AI Automation: Oodles provides AI Agents that automate business workflows such as customer engagement, lead conversion, appointment scheduling, payment requests, and customer feedback.

  • AI Agent Functionality and Data Handling: AI Agents may process user interactions, metadata, and behavioral signals to deliver automated services such as lead response, appointment booking, payment reminders, and review collection. Oodles does not use personally identifiable information to train generalized AI/ML models unless explicitly authorized.

  • Multi-Channel Communication: Including webchat, SMS/MMS, voice calls, and email.

4. Subscription, Fees, and Billing

  • Subscription Plans: Users must select a subscription plan and agree to recurring fees.

  • Automatic Renewal: Unless cancelled, your subscription will automatically renew.

  • Third-Party Payment Provider: Oodles uses Stripe and other providers for billing. Transaction costs may apply.

  • Plan Modifications: Oodles reserves the right to adjust pricing and features with advance notice.

Free Plan and Free Trials

  • Oodles may, at its sole discretion, offer a Free Plan through the Shopify App that includes limited use of the Loyalty & Referrals AI Agent and Web Chatbot. This plan is available only to Shopify Merchants and is subject to usage limits, feature restrictions, and modification or termination without notice.

  • Free plans are not guaranteed and may be discontinued at any time without liability.

  • Oodles may also offer time-limited free trials for paid plans or services. Users participating in a trial must still comply fully with all Terms and Conditions, Privacy Policies, and Data Processing obligations.

  • Any data, content, or outputs generated during a free trial are subject to the same rights, usage, and liability limitations as paid plans.

5. Acceptable Use & User Conduct

  • Users must comply with all applicable laws, including TCPA, GDPR, CAN-SPAM, CCPA, and other jurisdictional regulations.

  • Users may not engage in: unauthorized data harvesting, reverse engineering, platform abuse, content violations, or any activity defined under Oodles’ SHAFT Compliance Policy.

  • Toll-free and local numbers used for messaging must be verified.

6. Content Ownership and Usage

  • Ownership: You retain all rights to content you upload.

  • License to Oodles: You grant Oodles a limited license to use content as required to provide services.

  • Moderation: Oodles may remove content that violates these Terms or applicable laws.

7. Third-Party Services and Integration

  • Third-Party Tools: Oodles integrates with services such as Google, Meta, Stripe, and Twilio. Your use of those services is subject to their terms.

  • Google Workspace API Use: Oodles does not use data obtained from Google Workspace APIs for training generalized AI or ML models. Such data is only accessed to facilitate communications between merchants and their customers and is not retained for any unrelated purpose.

  • Shopify API Use: Shopify Merchants grant Oodles permission to access limited store data (e.g., order history, customer metadata) as required to enable AI Agents to deliver services. All access is limited to the scope of permissions granted during app installation.

  • No Liability: Oodles is not liable for third-party failures, service downtime, or misconfigurations.

8. Privacy and Data Protection

  • All user data is handled in accordance with our Privacy Policy and Data Processing Agreement.

  • Oodles implements industry-standard safeguards but cannot guarantee absolute security.

9. Intellectual Property

  • All platform elements, agent configurations, underlying algorithms, and branded assets are owned by Oodles.

  • Unauthorized reproduction, distribution, or misuse is strictly prohibited.

10. Disclaimer and Limitation of Liability

  • Services are provided “AS IS” without warranties.

  • Oodles is not liable for indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify Oodles and its affiliates against any claims arising from your use of the Platform, breach of these Terms, or violation of laws.

12. Termination

  • Users may terminate their account anytime via the dashboard.

  • Oodles may suspend or terminate access for violations without prior notice.

13. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by the laws of Texas.
  • Arbitration: Disputes shall be resolved via binding arbitration in Houston, Texas. Class actions are waived.

14. Modifications to Terms

Oodles reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.

15. Consent to AI-Generated Communications

By using the Platform, Users and their end customers acknowledge and consent to receiving communications generated by automated AI Agents. These communications may include promotional content, appointment confirmations, support replies, or transactional messages.
